Terms of Service
The agreement between you and Panoromiq. Written to be read, not to be hidden behind.
Last Updated: July 26, 2026
1. Who These Terms Are With
These terms are an agreement between you and Panoromiq Innovations LLC ("Panoromiq", "we", "us"), a limited liability company registered in the State of Wyoming, United States.
They apply when you use panoromiq.com, submit an enquiry, or engage us to provide services. If you are agreeing on behalf of a business, you confirm you are authorised to do so.
2. Our Services
We provide digital marketing services to small and medium businesses. These include website design and development, search engine optimisation, Google Business Profile management, social media management, content writing, paid advertising management, reputation management, and AI-assisted tools.
You can take these as a bundled plan or choose individual services on their own. Either way, the specific services included in your engagement, and their prices, are those set out in the proposal you accept.
3. Plans, Pricing and Payment
- Plans are billed monthly or annually in advance, at the price shown on the proposal you accept.
- Annual plans are billed as a single upfront payment covering twelve months, at a discount to the monthly rate.
- Where a one-time setup fee applies, it is charged with your first payment.
- Founding Client rates are locked for the lifetime of the account and do not increase.
- All prices are in US dollars and exclude any taxes that may apply.
Card payments are processed by our payment provider. By providing payment details you authorise us to charge the plan you accepted on a recurring basis until you cancel.
4. Cancellation and Refunds
There is no contract term and no minimum commitment. You may cancel at any time, with no notice period and no cancellation fee. Every client is covered by a 30-day money-back guarantee.
The full terms, including what happens to a website provided at no cost, are set out in our Refund & Cancellation Policy, which forms part of these terms.
5. Failed Payments
If a payment fails, we will attempt it again and contact you. If payment remains outstanding, we may pause work and suspend access to the client portal until the account is brought up to date. We will always tell you before we do.
6. What We Need From You
Marketing work depends on timely input. You agree to provide the access, materials, approvals and feedback we reasonably need, including access to accounts and platforms where relevant.
You confirm that any content you give us — logos, images, text, testimonials — is yours to use, and that we may use it to deliver the services. Delays in providing what we need may affect timelines, and do not change your billing.
7. Ownership
Your brand, your content, your domain name and your customer data remain yours at all times.
Work we create for you — website builds, written content, designs and campaign assets — becomes yours once it has been paid for. Our own tools, systems, templates and internal processes remain ours. Where a website was provided at no cost as part of a Founding Client plan, the Refund & Cancellation Policy explains what happens if you claim the 30-day guarantee.
8. Results
We will carry out our work with reasonable skill and care, and we are proud of the results we get. But marketing outcomes depend on factors outside our control, including your market, your pricing, your competitors, and the policies of search engines and advertising platforms.
We do not guarantee specific rankings, traffic volumes, lead counts or revenue. Any figures we share are illustrative, based on past work or industry benchmarks, and are not a promise of your results.
9. Third-Party Platforms
Our services often involve platforms we do not control, such as Google, Meta and hosting providers. Their terms, policies, pricing and availability are theirs, not ours, and may change. Advertising spend paid directly to those platforms is separate from our fees.
10. Acceptable Use
You agree not to use our services for anything unlawful, misleading or infringing, and not to ask us to publish content that is false, defamatory, or that you do not have the rights to. We may decline or stop work that would put us in breach of a platform's policies or the law.
11. Confidentiality
Each of us may learn confidential information about the other. We each agree to keep it confidential and use it only to work together. This continues after our engagement ends.
12. Limitation of Liability
To the extent permitted by law, neither party is liable for indirect or consequential losses, including lost profits, lost revenue or lost data.
Our total liability arising from these terms is limited to the total fees you paid us in the three months before the event giving rise to the claim. Nothing in these terms limits liability that cannot lawfully be limited.
13. Suspension and Termination
You may cancel at any time. We may suspend or end services if payment is not made, if these terms are breached, or if continuing would be unlawful. If we end services without cause, we will refund any period you have paid for but not received.
14. Changes to These Terms
We may update these terms. The date at the top of this page shows when they last changed. If a change materially affects an active client, we will give notice by email. Continuing to use our services after that means you accept the updated terms.
15. Governing Law
These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law rules. The courts located in the State of Wyoming will have jurisdiction over any dispute, and both parties submit to that jurisdiction.
Before starting formal proceedings, both parties agree to try in good faith to resolve the matter directly.
